This author asserts there is an inverse relationship between
opaque legal work and
structural risks. For a service provider to competently provide opaque
services:
1.
The provider and the lawyer have an
existing long-term relationship as to opaque services wherein the lawyer has
transferred substantial technical knowledge to the provider; or
2.
The provider has at least 5 years of experience
performing substantial similar opaque tasks for which the lawyer’s desires
to contract services and the parties conduct an extensive interview wherein the
provider obtains all the lawyer's thoughts, ideas and subjective preferences
for performing the opaque services; or
3.
The lawyer commits time, resources and money to
transfer, by training, a large amount of knowledge to the provider.
